Transactions & Restructuring (T&R)

Advisory's Transactions & Restructuring service group-composed of Transaction Services, Restructuring, and Corporate Finance-brings a multi-faceted approach to companies seeking mergers and acquisitions or to divest operations. T&R can help clients maximize their transaction opportunities throughout the deal and throughout the economic cycle.

Transactions

Financial Due Diligence
As a Financial Due Diligence professional, you'll provide buy-side merger, acquisition, and divestiture support, focusing on stakeholder value by identifying key risks and benefits early in the transaction life cycle. This support includes pre-bid assessments; financial, tax, commercial, and information systems due diligence; as well as integration risk assessments, and accounting and tax transaction advisory services.

Transaction Advisory Services
If you like the fine details of deals, consider Transaction Advisory Services. Our professionals deliver complex technical accounting analysis to the transactions of our clients.

Business Due Diligence
Business Due Diligence professionals help clients validate and address specific business issues that can impact the future financial results realized from a particular transaction. You'll help deliver a data-driven, issues-focused approach to M&A due diligence. That approach uncovers hard-to-find information efficiently and quickly to help time-pressed dealmakers make better investment decisions — with the objectivity, insight, and industry experience that can help determine whether a deal will ultimately add value.

Lender Due Diligence
As a Lender Due Diligence professional, you'll help our clients to evaluate new and existing loan and investment opportunities. These opportunities include asset-based, cash flow, and structured finance debt structures.

Infrastructure
Our country's infrastructure needs are growing. But how will governments pay for projects? As a member of our Infrastructure team, you'll help provide the answer. Our professionals bring independence, global reach, experience, deep sector knowledge, and market insight as it relates to helping public and private sector clients with the structure and execution of large-scale infrastructure transactions and financing such as public-private partnerships. We can help our clients with pre- and post-transaction evaluations, buy- and sell-side assistance.

Corporate Finance

Corporate Finance provides objective unbiased advice on a range of financial transactions undertaken by corporations, financial institutions, and governments worldwide. As a KPMG Corporate Financier, you'll need to understand and advise one a wide array of products in today's increasingly complex global financial markets.

In our role as financial advisor, KPMG member firms work on equity and debt transactions undertaken in the world's key markets for clients operating in every sector.

Restructuring

As a Restructuring professional, you'll assist stressed and distressed businesses by helping them to stabilize and implement a process of strategic, operational, and financial change. This can be achieved either outside of a court-administered bankruptcy process, or in court via a Chapter 11 bankruptcy.

Our teams can address the complex issues that surround companies under stress turn around business performance and generate lasting value for stakeholders. You will need a thorough understanding of the intricate and often inter-related needs of stakeholders and how to deliver the complex, cross-border restructuring, and insolvency support clients need. Our teams also possess multi-disciplinary skills and in-depth technical knowledge; and bring a practical approach to their work with clients in all sectors and geographies.
